Acceptance of Terms and Conditions: Upon issue of Purchase Order, buyer accepts the following terms and conditions unless changes are documented in the quotation or on the Purchase Order and acknowledged by PST.
Quotation Acceptance: Unless otherwise stated in the quote, all quotations are for immediate acceptance and subject to change without notice. All orders and contracts are subject to acceptance only Seller’s home office. Typographical errors are subject to corrections.
Lead times: All lead times are per quotation.
Freight: FOB shipping point. Seller will determine best method of transit, unless buyer provides carrier preference and method with the Purchase Order. Orders are shipped insured at the buyer’s expense.
International Freight: In the event Buyer requires shipment to a location outside the U.S.A., Buyer shall be solely responsible for all customs and import tariffs, duties and similar charges, and for compliance with all import procedures, documentation and legal requirements of any other country, unless specified by the Seller.
Payment: Terms are Net 30 unless stated otherwise in quotation. For orders with multiple releases, payment is Net 30 for each release date and price per unit is determined per quotation.
Credit: Accounts will be opened only on approved credit. Seller reserves the right to decline delivery except for cash or credit card. PST Group accepts Discover, Master Card, Visa and American Express.
Order Cancellations: With written consent of the Seller, Buyer may cancel orders or defer delivery dates. The Buyer assumes immediate liability and will be invoiced Net 10 days for all work complete at the unit sale price, work in process based on the percentage completed, remaining raw material, engineering fees to date and other cancellation charges incurred. All cancellation charges to be determined at the time of cancellation or deferment.
Returns: Only stock parts, in new and resalable condition, are eligible for return and must be claimed within 10 days of receipt. All returns must have a Return Merchandise Authorization (RMA) and be shipped prepaid and insured.
Delivery issues beyond PST control: In no event shall Seller be liable for any consequential, special, or contingent damages arising out of Seller’s default or delay in filling an order or meeting delivery dates when the delay is resulting directly or indirectly from accident to or a catastrophic breakdown to Seller’s manufacturing equipment; labor disputes; embargoes; fire; riots; national emergency; delays of suppliers; carriers; or governmental restrictions, prohibitions, or allocations, Acts of God or any cause beyond the controls of Seller.
Preproduction approval parts: Buyer will provide written notification of issues or approval to manufacture within 24 hours of parts being completed or else agree to pay additional setup fees to be determined at that time.
Claims for shipment quantity discrepancies: Buyer must notify Seller within (5) days of receipt of shipment and include packing slip number, total weight, tare weight and physical count. Seller will work diligently with the Buyer to rectify the issue.
Claims for quality issues: Charges for repair or inspection of parts by Buyer without prior authorization cannot be honored. Seller will not allow claims on those goods further processed by the Buyer resulting in change of dimensions or characteristics from parts as ordered.
Part tolerances and specs: Buyer prints and drawings will determine tolerances and specs. In absence of notation on the drawing, PST will implement best practice standards.
Product gages: Where dimensions cannot be readily gaged with micrometers and require special gages, such gages may be furnished by Buyer or supplied by Seller at an extra charge. In the case of threads, the inspection gages shall conform to the limits specified by the latest National Institute of Science and Technology Handbook H28, as supplemented, entitled “Screw Thread Standards for Federal Services for Inspection Gages.”
Part inspection and data collection: Seller confirms compliances to specification using AQL Sampling Plans. If Buyer desires data collection beyond the AQL level, it must be communicated in writing to the Seller and all associated expense will be at Buyer’s expense.
Manufacturing tooling: Tools, dies, jigs, fixtures, gages, and their engineering and design, are integral parts of Seller’s manufacturing process. Therefore, separate quotation to, or payment by Buyer for these items, supplied by Seller, conveys neither ownership nor the right of removal from Seller’s factory. Tools and/or dies remain the property of PST Group and will be maintained and/or replaced at our expenses.
Buyer supplied material: Quotations covering machining of Buyer’s material are made subject to delivery of the amount of material as specified by Seller in the appropriate lengths, FOB Seller’s plant and are subject to change if material furnished by Buyer is defective or will not machine with reasonable wear on tools at the speed and feed estimated. Chemical and physical specifications are the sole responsibility of Buyer, and parts manufactured from Buyer’s material which conform to blueprint specifications shall be accepted by Buyer, If Buyer’s material proves defective in total or in part or of a different character than represented by either Buyer or material producer, all work performed by Seller shall be reimbursed by Buyer.
Patents: It is not the intention of Seller to manufacture and/or distribute any product which is an infringement of a patent. Buyer will defend and reimburse Seller from all expenses and damage resulting from claims of infringement whether or not the goods are part of a unit or a complete entity.
Taxes: Taxes imposed by any present or future law or federal, state, county, or municipal authority on the manufacture, sale or use of the articles purchased hereunder and required to be paid by Seller shall be added to the amount to be paid by Buyer. Buyer shall furnish evidence of exemption if applicable. Custom duties or taxes are not included in prices; Buyer shall reimburse Seller for any such duties or taxes as Seller may pay or subsequently be assessed.
Warranty: Seller warrants that the goods manufactured will conform to the drawings and specifications furnished by Buyer and will be free from material and workmanship defects for a period of (1) year from date of receipt. Seller will at his option credit, repair, or replace such products determined by Seller to be defective.
Seller shall have the option of inspecting the goods on Buyer’s premises or authorize their return. No goods are to be returned without written consent nor shall the Seller be liable for any expenses, including inspection expenses, incurred by Buyer in order to remedy defects in said goods. Products manufactured by others, but furnished by Seller, are limited to the original manufacturer’s warranty and Seller shall not be liable under any circumstances for defects in such products.
It is expressly agreed that this warranty is in lieu of any and all other warranties and liabilities, expressed or implied, including but not limited to any warranty or merchantability or fitness for any purpose and any liability for consequential damages arising out of the use of the product sold hereunder. The foregoing states that the Seller’s entire and exclusive liability and buyer’s exclusive and sole remedy period, the Seller will in no event be liable for any consequential, special or contingent damage or expense arising directly or indirectly from any defect in its goods or from the use thereof. Nor is any person authorized to assume any such liability for the Seller.
